Master Services Agreement

This Master Services Agreement (MSA) is entered into between the subscriber and John R. Guzzo, LLC dba Hudson Valley Wireless (HVW) with offices at 11 Cannon Street, Green Island, NY 12183. This agreement establishes the terms and conditions for wireless internet access services, IT support, maintenance services, and additional services provided by HVW.

What This MSA Covers

This agreement applies to Nitro Broadband Internet Access Service, Nitro 2.0 Broadband Internet Access Service, Nitro Freedom Select Broadband Internet Access Service, Standard Broadband Internet access services (collectively NITRO Services), and the commercial premium Dedicated Internet Access service (DIA Service). It does not apply to Legacy/Classic, Wholesale, or Transport products.

Scope, Modifications, and Acceptance

HVW provides services conditioned upon acceptance of all terms in this agreement and referenced documents. HVW may modify this agreement at any time by posting changes at hvwisp.com. Continued use of the service following notice of changes constitutes acceptance. Subscribers who disagree with modifications must stop using the service and notify HVW of termination.

Subscriber Responsibilities and Liability

Subscribers are responsible for all users and equipment at their location. Residential subscribers may share service only with immediate household members. Business subscribers may share service with authorized employees and patrons at the same address. Reselling, redistribution, or transmission over unsecured wireless networks is prohibited. Subscribers must maintain accurate personal information with HVW at all times.

Service Features, Speeds, and Billing

Service speeds are measured between the subscriber's location and the provider's assigned access point. Actual connection speeds may vary under high Internet usage. Monthly billing begins on the first day of each month. The first month is prorated based on installation date. Usage-based billing alerts are sent at 75% data threshold for metered plans. Freedom Select, DIA, and Custom Plans are truly unlimited with no usage-based billing.

Installation and Equipment

Standard installation includes a single-story home with clear pathways under 100 feet. Additional charges may apply for non-standard installations including tripods, masts, chimney mounts, multi-story buildings, and buried cables. All HVW equipment remains the property of HVW. Subscribers must return equipment within 30 days of termination or pay applicable replacement fees.

Technical Support and Point of Demarcation

Support is provided up to the HVW Antenna and Router (Point of Demarcation). Troubleshooting beyond that point may incur additional charges based on HVW's current rates. Service calls are a minimum of $50.00 for the first hour plus travel charges.

Termination

Subscribers may terminate service with 30 days written notice via email, fax, or US Postal Service. Phone calls are not sufficient notice for cancellation. Early termination fees of up to $350.00 may apply. Upon termination, all HVW equipment must be returned in good working condition within 5 calendar days.
